Welcome to SAGEA. These Terms of Use ("Terms") govern your access to and use of SAGEA's websites, APIs, SDKs, models, research previews, enterprise infrastructure, software, and related services (collectively, the "Services").

By accessing or using the Services, you agree to be bound by these Terms and any policies incorporated herein.

If you are using the Services on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

Scope of Services

SAGEA develops artificial intelligence systems and infrastructure across language, reasoning, voice, vision, and identity verification domains.

The Services may include:

Hosted APIs

Low-latency access to our advanced LLMs, vision, and voice models.

Research Previews

Early experimental releases of frontier systems under active development.

Downloadable Models

Weights and models optimized for local running and custom serving.

Open-Source Software

Tools, libraries, and frameworks released for developer workflows.

Enterprise Infrastructure

High-density private cluster provisioning and managed environments.

On-Premises Deployments

Sovereign on-premise execution of SAGE and Helios infrastructure.

SDKs & Developer Tooling

Libraries and agents designed for rapid model orchestration.

Verification Systems (Helios)

Reasoning-driven identity verification and local compliance engines.

Availability, capabilities, and deployment models may vary depending on the specific Service or agreement.

Eligibility

You must be legally capable of entering into these Terms under applicable law.

If you access the Services on behalf of a company, institution, or government entity, you confirm that you have authority to bind that entity.

Accounts and Access

Certain Services require account registration, developer registration, or API credentials.

Your Access Responsibilities

  • Credential ConfidentialityYou must maintain full confidentiality of account credentials and API keys.
  • Restricting AccessYou are responsible for restricting unauthorized access to your account or integrations.
  • Account ActivityYou are fully liable for all activities occurring under your account or credentials.
  • Integration ComplianceYou must ensure all integrations with our APIs comply with applicable laws.

You must promptly notify SAGEA of any suspected unauthorized access or security incident involving your account at [email protected].

Acceptable Use

To protect SAGEA infrastructure, models, and community, you agree not to use the Services in a manner that is abusive, dangerous, or illegal. Specifically, you may not use the Services to:

Violate laws

Violate applicable laws, regulations, or statutory mandates.

Infringe Rights

Infringe intellectual property, copyright, patent, trademark, or privacy rights.

Deceptive Activity

Conduct fraud, identity theft, phishing, or other misleading and deceptive activity.

Generate Malware

Generate malicious software, malware, ransomware, or unauthorized network intrusion tools.

Exploit Infrastructure

Exploit, overload, reverse-engineer, probe, or disrupt infrastructure, models, or APIs.

Biometric Surveillance

Perform harmful biometric surveillance, facial recognition matching, or unlawful profiling.

Misrepresent AI Outputs

Misrepresent AI-generated outputs as human-authored where legally restricted or deceptive.

Bypass Controls

Bypass safety systems, rate limits, geofences, or technical access restrictions.

* Additional product-specific usage restrictions, including model-use cards, may apply to certain Services and are incorporated herein.

AI Systems and Outputs

Certain SAGEA Services involve probabilistic, non-deterministic machine learning systems, deep learning models, and advanced neural architectures.

Probabilistic Output Notice

Inherent Probabilistics: You acknowledge that model outputs are generated through probabilistic inference and may be inaccurate, incomplete, hallucinated, or unsuitable for particular use cases.

Verification Required: AI-generated responses, structured extractions, and compliance decisions should be thoroughly reviewed by qualified personnel before use in high-risk contexts.

No Factual Guarantee: SAGEA does not guarantee factual accuracy, legal compliance, error-free reasoning, or fitness for mission-critical decisions.

Downstream Responsibility: Customers remain entirely responsible for all decisions, actions, products, and downstream outcomes arising from their use of model outputs.

CRITICAL OVERSIGHT LIMITATION: Services involving compliance, identity verification, reasoning, or automation should not be treated as the sole basis for consequential legal, financial, medical, employment, housing, or regulatory decisions without appropriate human oversight.

Enterprise and On-Premises Deployments

Certain SAGEA Services may be deployed in multiple models depending on sovereignty and compliance requirements:

DEPLOYMENT TYPE 1Customer-ControlledDeployments directly within customer-owned and managed physical or cloud infrastructure.
DEPLOYMENT TYPE 2Private CloudDedicated cloud clusters provisioned in isolated virtual private environments.
DEPLOYMENT TYPE 3SAGEA InfrastructureMulti-tenant or dedicated SaaS APIs operated entirely by SAGEA.

For on-premises and customer-controlled deployments, customer and end-user data generally remains entirely within customer-controlled environments, and SAGEA maintains zero remote visibility unless otherwise agreed in writing.

Enterprise-specific terms, service-level agreements (SLA), data processing agreements (DPA), or custom deployment contracts may supplement or modify these Terms under a separate written agreement.

Privacy and Data Handling

Your use of the Services is also governed by our Privacy Policy.

Enterprise Data Privacy Commitments

Unless explicitly agreed otherwise in writing:

  • No Foundation Training: SAGEA does not use enterprise customer data, uploaded identity media, or model interactions to train our foundation models.
  • Strict Isolation: Customer data is processed solely to provide, support, and secure the specific Services ordered.
  • Content Ownership: Customers retain all intellectual property, title, and ownership of their submitted content and data.

Operational telemetry, diagnostic logs, system metrics, and anonymized usage metadata may be collected by SAGEA strictly to maintain platform reliability, prevent fraud, improve security, and balance server infrastructure.

Open Source and Research Releases

Certain SAGEA software, libraries, weights, models, or research artifacts may be released under separate licenses, including our proprietary SAGEA Open Source License or standard permissive licenses (e.g. Apache 2.0).

Research Previews and Experimental Releases:
  • May contain unstable, experimental, or preview features.
  • Lack SLA support guarantees or commercial production backups.
  • Are subject to substantial architectural and performance changes between versions without notice.

Separate license terms govern those releases where applicable. In the event of a conflict between these Terms and the separate open-source or research license terms, the separate license terms shall govern with respect to that specific software or model.

Intellectual Property

The Services, including all proprietary language models, API structures, interfaces, developer dashboards, weights, codebases, documentation, SAGEA brand assets, and Helios engines, are owned exclusively by SAGEA or its licensors and are protected under international copyright, trademark, and patent laws.

Restrictions on Use

Except as expressly permitted under these Terms or a separate signed contract, you must not:

  • Reverse engineer, decompile, extract, or distill the weights, parameters, or internal architecture of our AI models.
  • Resell, lease, sublicense, distribute, or commercially exploit API access to SAGEA Services to third parties.
  • Remove, alter, or hide any copyright, attribution, watermark, or proprietary notifications embedded in our systems.
  • Use SAGEA trademarks, logo assets, or design language in commercial marketing without our express written consent.

No intellectual property rights, licenses, or implied ownership terms are granted under these Terms except those explicitly stated.

Availability and Modifications

SAGEA operates at the frontier of generative AI and security infrastructure. As such, we may modify, evolve, restrict, pause, or terminate portions of the Services at any time to implement security patches, model upgrades, or safety filters.

AlphaBetaResearch PreviewExperimental

Services carrying these experimental designations may experience infrastructure interruptions, reduced reliability, sudden parameter updates, or feature instabilities. SAGEA does not guarantee uninterrupted or error-free operations unless explicitly stated in a separate signed enterprise agreement.

Security

SAGEA implements rigorous, commercially reasonable administrative, technical, and physical safeguards designed to prevent unauthorized access, intrusion, data leak, or breach of our core infrastructure.

Additional compliance and security details may be provided through:

Customers remain fundamentally responsible for configuring, administering, and securing their own local integrations, endpoints, developer credentials, API tokens, and downstream user access controls.

Third-Party Services

The Services may integrate with or depend upon third-party platforms, infrastructure providers, or software components.

SAGEA does not assume liability, control, or warranty for third-party platforms, database failures, or telecommunication outages occurring outside our direct, reasonable control.

Warranty Disclaimer

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SAGEA DISCLAIMS ALL WARRANTIES, REPRESENTATIONS, AND GUARANTEES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO:

  • MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY OR TRUTH OF OUTPUTS
  • RELIABILITY, CONTINUOUS AVAILABILITY, OR SECURE UPTIME

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SAGEA SHALL NOT BE LIABLE FOR ANY:

  • INDIRECT OR CONSEQUENTIAL DAMAGES
  • LOSS OF PROFITS, CONTRACTS, OR REVENUE
  • LOSS, CORRUPTION, OR BREACH OF DATA
  • BUSINESS INTERRUPTION OR WORK STOPPAGE
  • SECURITY INCIDENTS CAUSED BY CUSTOMER MISCONFIGURATION
  • DECISIONS MADE USING AI-GENERATED OUTPUTS
MAXIMUM LIABILITY: SAGEA'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO SAGEA FOR THE RELEVANT SERVICES DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Termination

SAGEA may suspend or terminate access to the Services, active portals, or developer accounts at any time and without notice if:

  • These Terms are violated or safety policies are bypassed.
  • Your integrations or usage patterns pose operational risks, resource exhaustions, or security vulnerabilities to SAGEA or other customers.
  • Your account experiences outstanding unpaid balances or payment defaults.
  • We detect developer misuse, security abuses, or structural safety bypasses.

Upon termination, your right to access the Services ceases immediately, and you must destroy all local copies of SDKs, model weights, or proprietary software obtained from SAGEA.

Governing Law

These Terms and all disputes or claims arising out of or relating to your use of SAGEA Services shall be governed by and interpreted in accordance with the laws of Nepal, without regard to conflict of law principles or international treaty defaults.
